What is included

  • Standard Corporate Secretariat service
  • Quarterly review of the company’s activities and financial statements.
  • Maintaining the entity’s statutory records in accordance with the regulatory requirements.
  • Participate in Board Meetings up to maximum of 2 meetings per annum (Maximum 3 hours per meeting)

Additional notes:

  • Financial Statements to be provided to the Director / Firm on a quarterly basis for review and comments.
  • All traveling expense are excluded.
  • Each entity where we are acting as Director will at Client’s expense, engage and maintain auditors of international reputation acceptable to the Firm (such as EY, KPMG, PwC, or Deloitte) to audit the entity’s books of account during the period the Firm is carrying out Corporate Services and Director Services for the Client.
  • Further to the above scope of work please refer to below.
  • The Client undertakes to furnish to the directors all information requested by the directors that is reasonably necessary for the carryout of their obligations and rendering of the legal duties to the fullest extent. Failure to comply with this provision will entitle the Firm to terminate the engagement by written notice.
  • The Client will enter into an indemnity agreement with the Firm and each of the appointed directors in a form prepared by the Firm to indemnify the firm and the appointed director and keep them whole from any costs, expenses, liabilities, or penalties that may be attributed to them in connection with carrying out the services.

Our professional director/manager service is available for clients on discretionary basis with regards to Saudi companies. The service includes availing a firm member to act as a professional director/manager.
